Don Henderson

Experience

 

Don joined Dugger & Associates as an associate attorney in 2010 after previously serving as a summer law clerk to the firm.  Don works in a variety of legal fields for the firm including the following:

 

  • Negotiation and preparation of complex commercial contracts and international transactions on behalf of domestic and international clients in the energy sector, such as the establishment, operation and dissolution of international joint ventures, as well as the acquisition and disposition of such joint venture interests, master service and purchase agreements, contracts affecting the day-to-day business matters of companies, etc.

 

  • Buyer and seller representation in multi-million dollar domestic merger and reorganization transactions, as well as domestic stock and asset acquisitions and dispositions.

 

  • Formation and reorganization of domestic and international business entities, including Texas Series LLC’s.  Outside counsel to domestic and international companies providing assistance with daily corporate governance and other general corporate matters such as employment law issues and the drafting of high level executive employment agreements. 

 

  • Simple and complex estate planning and probate matters including the drafting of last wills and testaments, powers of attorney, directives, and various trust instruments, as well as assisting with the probate of estates.

 

  • All aspects of real estate transactions including the negotiation and drafting of notes, deeds of trust, guarantee agreements, general and special warranty deeds, lease agreements, etc., as well as matters concerning the landlord-tenant relationship, including best practices when establishing companies for residential rental properties.

 

  • Registration of vessels with the United States Coast Guard, Marshall Islands, Vanuatu and other jurisdictions, in addition to the negotiation of vessel purchase agreements, first preferred ship mortgages, vessel charter agreements and advising employers with regard to maritime liabilities.

 

  • Representation of De Minimis and De Micromis parties designated as potentially responsible parties by the Environmental Protection Agency in connection with federally declared Superfund Sites.

 

  • Negotiation of oil, gas and mineral leases in addition to all other related documents such as seismic agreements, right of way agreements, water well agreements, facility use agreements, etc.

 

  • Assistance with obtaining U.S. business visas including B (visitor), E (treaty trader/treaty investor), L (intra-company transferees), and H1-B (specialty occupation) visas, as well as EB1 (multinational executive/manager) green cards.

 

  • Litigation of commercial disputes between companies including the use of alternate dispute resolution.

About Don

 

Don graduated from the University of Houston Law Center and was admitted to practice in the State of Texas in 2010.  Prior to law school, Don attended Centenary College in Shreveport, Louisiana where he earned a Bachelor of Science with a major in Political Science and a minor in Business Administration.  Also during his time at Centenary College, Don played goalkeeper for the men’s soccer team who at that time competed as a Division 1 program.  Don is a native Houstonian, married to Megan Bockhorn of Brenham, Texas, and the son of Marjorie and Don Henderson.  Mr. Henderson previously served the State of Texas as a member of both the Texas House of Representatives and Senate.
